Paul has spent his career representing small and large companies, public and private, in both in-house and outside counsel roles. He worked for several large national and regional law firms immediately after his initial bar admittance in Louisiana in 1996. He was admitted to the Texas bar in 1998.
His most recent law firm role was as a shareholder at Winstead from 2007 to 2012, during which time he served as lead attorney on many corporate financings, debt and equity, public and private. He also served as lead attorney on numerous merger and acquisition transactions, including many involving publicly traded companies. During this time, Paul routinely daily interfaced with CEOs, CFOs and Boards of Directors of numerous clients (public and private) to advise them on many varied corporate issues.
In 2012, Paul began serving as General Counsel of a publicly-traded specialty pharmaceutical company located in The Woodlands, a role which he handled for over two years until the company’s headquarters was relocated to New Jersey. Paul served as the sole legal representative of the Company, managing or completing many complex transactions and also overseeing several litigation matters for the Company.
Since 2014, Paul has represented many clients in a solo practice, continuing the work he had done prior to becoming General Counsel with a focus on smaller private companies and startups. From 2018 to 2023, he also served as General Counsel to a privately held blockchain enterprise solution company while continuing to service his solo practice clients as needed.
Below are a representative sample of the more significant transactions for which Paul has served as a lead attorney over the course of his career:
- $100 million acquisition of a privately held pharmaceutical company;
- $25 million acquisition of a publicly traded pharmaceutical company;
- $42 million secured credit facility and subsequent refinancing;
- $280 million private placement of senior secured notes for an oilfield services company;
- $31 million acquisition of a Canadian publicly traded electrical distribution company;
- $295 million private placement of senior secured notes for a publicly traded restaurant company;
- $16 million direct registered offering of common stock for a publicly traded biotech company;
- $205 million registered exchange offer for senior secured notes for an oilfield services company, including drafting and filing Form S-4 with the SEC; and
- $36 million underwritten public offering for a publicly traded biotech company.
Paul provides support to the firm on both transactional and litigation matters.
